It is to be easier for shareholders to adopt resolutions now by means of electronic communication.

On 3 September, an amendment to the Commercial Companies Code came into force which provides for the so-called e-meetings of Polish private limited companies (sp. z o.o.). Legislators have recognised that holding general meetings in the traditional way is often a technical and organisational problem. This is particularly important in the case of shareholders who are foreign entities or persons staying outside Poland. Participation in a general meeting by means of electronic communication is intended to make it easier for shareholders to actively exercise their corporate rights. Legislators did not impose any specific technical solutions or forms of such e-meetings.
