Projected changes relating to resignation of sole management board member.
On 9 November the Sejm passed an act amending various legislation to introduce simplified tax law and commercial law compliance procedures for businesses. In addition, the new law is designed to make life easier for companies by resolving certain issues that over the years have proved troublesome for law practitioners and courts alike. One of them is resignation of the single (last) member of a company’s management board. There has been a long-time controversy in both corporate legal practice and case law about who should such board member’s resignation notice be addressed to. The controversy has now been largely resolved by the Supreme Court sitting in a seven-justice panel.
